If you have a corporation or a business unincorporated out of Ontario and you want to do business in Ontario, what are you going to do?
1. FOREIGN CORPORATIONS If you have a corporation out of Canada and wish to carry on your business in Ontario, you MUST apply for an Extra-Provincial Licence in Ontario. For this purpose, you need to complete the following:

Application for Extra-Provincial Licence (completed in duplicate and bearing original signatures on both copies);

Appointment of Agent for Service (completed in duplicate and bearing original signatures on both copies);

Ontario-biased NUANS name search report (effective for 90 days after production);

An original Certificate of Status issued by the government of the home jurisdiction, and signed by an official of the governing jurisdiction authorized to do so, setting out:
(i) the name of the corporation,
(ii) the date of incorporation or amalgamation,
(iii) the jurisdiction to which the corporation is subject,
(iv) that the corporation is a valid and subsisting corporation;Note: If the home jurisdiction will not issue an original Certificate of Status with the above information, you require a legal opinion from a lawyer authorized to practice in that jurisdiction, setting out all the above information.

Fee of $330.00;

Covering letter giving a contact name, returns address, and telephone number.
2. DOMESTIC CORPORATIONS a corporation incorporated or continued federally, or under the laws of any other Canadian jurisdiction outside of Ontario, in order to operate in Ontario, it must file the following information with the Ontario government:

An Initial Return within 60 days after the date the corporation begins to carry on business in Ontario accompanied by a photocopy of the page or pages of the most recent Articles;

A Notice of Change within 15 days after the change to information previously filed takes place.

You may need to register a business or style name in Ontario.
3. UNINCORPORATED BUSINESS An unincorporated company from another province or territorie wishing to operate in Ontario must register a business or trade name in Ontario.
